1. Agreement to Terms
By accessing or using AlphaTax ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
Important: These Terms contain an arbitration clause and class action waiver (Section 17) that affects your legal rights. Please read carefully.
2. Eligibility
2.1 Age Requirement
You must be at least 18 years old to use AlphaTax. By using the Service, you represent and warrant that you meet this age requirement.
2.2 Authority
You represent that you have the legal authority to enter into these Terms. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
2.3 Geographic Restrictions
AlphaTax is available only to residents of the United States. By using the Service, you represent that you are located in the US and are using the Service for US tax purposes only.
2.4 Account Restrictions
You may not use the Service if you:
- Have been previously banned from AlphaTax
- Are prohibited by law from using tax preparation services
- Are under IRS audit investigation without disclosing this to us
- Have used fraudulent information to create an account
3. Description of Service
3.1 What AlphaTax Provides
AlphaTax is an AI-powered tax optimization platform that provides:
- Tax liability calculations and projections
- Automated deduction discovery and tracking
- Business structure optimization recommendations
- IRS Form 1040 generation and related schedules
- Automated expense categorization using AI
- Quarterly tax estimate calculations
- Tax planning strategies and insights
- Secure document storage and organization
- Receipt scanning and OCR processing
- Mileage and expense tracking
- Multi-year tax data analytics
3.2 What AlphaTax Is NOT
AlphaTax is NOT:
- A licensed tax preparation service or CPA firm
- A registered investment advisor (RIA) or financial advisor
- A law firm providing legal advice
- An IRS Authorized e-file Provider (e-filing powered by certified partners)
- A substitute for professional tax, legal, or financial advice
- Guaranteed to result in specific tax savings or outcomes
- Responsible for IRS acceptance or approval of your tax returns
3.3 Service Availability
We strive to provide continuous access but do not guarantee:
- Uninterrupted or error-free service
- Availability during maintenance or updates
- Compatibility with all devices or browsers
- Data accuracy or calculation precision (see Section 10 for disclaimers)
4. Account Registration and Security
4.1 Account Creation
To use AlphaTax, you must create an account by providing:
- Full legal name (as appears on tax returns)
- Valid email address
- Secure password meeting our requirements
- Tax-related information (SSN, filing status, income details, etc.)
- Payment information for paid subscriptions
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Using a strong, unique password (minimum 8 characters, mix of letters, numbers, symbols)
- Enabling multi-factor authentication when available
- Notifying us immediately of any unauthorized access at security@alphatax.com
- Not sharing your account with others
We reserve the right to:
- Suspend accounts showing suspicious activity
- Require password resets for security reasons
- Implement additional security measures as needed
- Terminate accounts that violate security policies
4.3 Accurate Information
You agree to:
- Provide accurate, current, and complete information
- Update information promptly when it changes
- Not use false identities or impersonate others
- Not create multiple accounts to abuse trials or promotions
Consequences of False Information:
- Account suspension or termination
- Loss of all data and subscription fees (no refund)
- Legal liability for fraud or misrepresentation
- Reporting to authorities if illegal activity is suspected
5. Subscription Plans and Billing
5.1 Subscription Tiers
Free Plan: $0

- Maximum 50 transactions per year

Essential Plan: $7/month or $60/year (save 29%)
- Unlimited transactions
- Basic tax calculations

- Quarterly estimates

- Email support (24-hour response time)
Professional Plan: $12/month or $99/year (save 31%)
- Everything in Essential
- Advanced deduction discovery using AI
- Business structure optimization
- Multi-state tax support
- Receipt scanning (OCR)
- Priority email support (12-hour response time)
- Export to CSV/PDF
Ultimate Plan: $17/month or $149/year (save 27%)
- Everything in Professional
- Audit protection resources
- Tax strategy consultations (educational only)
- Mileage tracking
- Dedicated support (4-hour response time)
- Early access to new features
- Multi-year tax data analytics
Pricing subject to change with 30 days' notice. Features may be added or modified.
5.2 Payment Terms
Billing Cycle:
- Monthly: Charged every 30 days from subscription date
- Annual: Charged once per year, saving 27-31% vs monthly
Payment Methods:
- Credit card (Visa, MasterCard, Amex, Discover)
- Debit card
- Other methods approved by our payment processor (Stripe)
Payment Processing:
- All payments securely processed through Stripe
- We never store your full payment card information
- Payment failures may result in service interruption
Currency: All prices in US Dollars (USD)
Automatic Renewal:
Subscriptions automatically renew unless cancelled at least 24 hours before renewal date. You will receive email notification 7 days before renewal.
5.3 Free Trial
New users may receive a 7-day free trial of paid plans:
- No credit card required for trial
- Full access to selected plan features
- Trial automatically ends after 7 days
- Must upgrade to paid subscription to continue access
- One trial per user/email address/payment method
- We reserve the right to deny trials for suspected abuse
5.4 Billing Authorization
By providing payment information, you authorize AlphaTax to charge:
- Initial subscription fees
- Recurring subscription fees on each billing date
- Applicable federal, state, and local taxes
- Fees for additional services if purchased (e.g., audit support, e-filing when available)
You authorize us to update your payment information automatically through our payment processor (e.g., card expiration date updates).
5.5 Price Changes
We may change subscription prices with 30 days' advance notice via email.
Price changes:
- Apply to new subscriptions immediately
- Apply to renewals (not current billing cycles)
- Do not affect locked-in annual subscriptions until renewal
- Continued use after notice constitutes acceptance
If you do not agree to price changes, you may cancel before they take effect.
5.6 Refund Policy
Cancellations:
- You may cancel anytime through account settings
- No refunds for partial months or years
- Access continues until end of current billing period
- No refund for unused portion after 30-day guarantee period
Disputed Charges:
- Contact support@alphatax.com within 30 days of charge
- Provide transaction details and reason for dispute
- We will investigate and respond within 10 business days
- Chargebacks may result in account termination
Exceptions:
- Violations of Terms (no refund)
- Fraudulent accounts (no refund, possible legal action)
- Service unavailable due to your actions (no refund)
5.7 Late Payments and Failed Charges
Failed Payments:
- You will receive email notification of failed payment
- We will retry payment up to 3 times over 7 days
- Service may be suspended after 3 failed attempts
- Account may be terminated after 30 days of non-payment
Reactivation:
- Update payment information in account settings
- May require $10 reactivation fee after multiple failed payments
- Previous subscription rate not guaranteed after account suspension
Outstanding Fees:
- All fees remain due even after account termination
- We may pursue collection for unpaid amounts
- You are responsible for collection costs and legal fees
6. User Content and Data
6.1 Your Data Ownership
You retain all rights, title, and interest in the data you provide to AlphaTax, including:
- Tax information and financial records
- Business documents and receipts
- Personal information
- Uploaded files and images
6.2 License to AlphaTax
You grant AlphaTax a limited, non-exclusive, worldwide, royalty-free license to:
- Store and process your data to provide the Service
- Generate tax calculations and forms based on your data
- Display your information in reports and dashboards
- Create encrypted backups for data protection
- Use anonymized, aggregated data to improve AI algorithms and features
- Share data with service providers as described in Privacy Policy
This license:
- Is limited to providing and improving the Service
- Terminates when you delete your data or close your account
- Is subject to legal retention requirements (7 years for tax records)
- Does not grant us ownership of your data
6.3 Anonymized Data
We may create anonymized, aggregated data from user information to:
- Improve tax optimization algorithms
- Train AI models for better categorization
- Conduct research and analytics
- Publish industry insights and trends
Anonymized data cannot identify you individually and may be retained indefinitely.
6.4 Data Accuracy and Responsibility
You are responsible for:
- Accuracy and completeness of all data entered into AlphaTax
- Reviewing all generated tax forms before filing with IRS
- Verifying calculations and recommendations
- Ensuring information is current and up-to-date
- Maintaining source documents (receipts, bank statements, etc.)
We are NOT responsible for:
- Errors resulting from incorrect data entry
- Missed deductions due to incomplete information
- IRS penalties from inaccurate returns
- Consequences of filing incorrect tax information
6.5 Prohibited Content
You may not upload, store, or submit:
- Illegal, fraudulent, or falsified information
- Another person's confidential information without authorization
- Malware, viruses, or malicious code
- Content that violates intellectual property rights
- Deliberately false or misleading data
- Information for tax evasion or fraud
Violation may result in:
- Immediate account termination
- No refund of subscription fees
- Reporting to law enforcement
- Legal action for damages
7. Acceptable Use Policy
7.1 Prohibited Activities
You agree NOT to:
Legal Violations:
- Violate any local, state, federal, or international law
- Use the Service for tax fraud or evasion
- Submit false information to IRS or other authorities
- Engage in money laundering or illegal financial activities
Account Abuse:
- Share your account credentials with others
- Use one account for multiple individuals or businesses
- Create multiple accounts to abuse free trials or promotions
- Impersonate another person or entity
- Use false identity or stolen credentials
Technical Abuse:
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to our systems
- Use automated tools (bots, scrapers) without written permission
- Reverse engineer, decompile, or disassemble the Service
- Bypass security measures or access controls
- Overwhelm our servers (e.g., DDoS attacks)
Commercial Abuse:
- Resell or redistribute access to the Service
- Use the Service for competitive analysis
- Frame or mirror our website
- Use our intellectual property without permission
Data Abuse:
- Upload malware or malicious content
- Attempt to access other users' data
- Export data for competing services
- Scrape or harvest user information
7.2 Consequences of Violations
Violations may result in:
- Immediate account suspension or termination
- No refund of subscription fees
- Legal action for damages
- Reporting to law enforcement
- Permanent ban from the Service
We reserve the right to investigate violations and cooperate with law enforcement.
8. Intellectual Property
8.1 AlphaTax Property
AlphaTax and its licensors own all rights, title, and interest in:
Technology:
- The Service, platform, and all software
- AI algorithms and proprietary technology
- Database structure and organization
- Source code and object code
Content:
- Website content, design, and layout
- Tax optimization methodologies
- Educational content and guides
- User interface and user experience
Branding:
- AlphaTax name, trademarks, and logos
- Service marks and trade dress
- Domain names (getalphatax.com)
Documentation:
- User guides and help articles
- API documentation (when available)
- Support materials
8.2 Limited License to You
We grant you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Service for personal or business tax preparation
- Download and print tax forms you generate
- Export your own data in provided formats
You may NOT:
- Copy, modify, or create derivative works
- Distribute, sell, or sublicense access
- Remove copyright, trademark, or proprietary notices
- Use our intellectual property for commercial purposes
- Publicly display or perform our content
8.3 User Feedback
If you provide feedback, suggestions, ideas, or feature requests ("Feedback"), you grant us:
- Unlimited, irrevocable, perpetual, worldwide license
- Right to use, modify, and commercialize without compensation
- Right to incorporate into the Service
- No obligation to implement or credit you
By providing Feedback, you waive any intellectual property claims.
8.4 DMCA Policy
If you believe content on AlphaTax infringes your copyright, contact:

- Include: Your contact information, description of copyrighted work, location of infringing content, good faith statement
We will investigate and respond in accordance with the Digital Millennium Copyright Act.
9. Third-Party Services and Integrations
9.1 Integrated Services
AlphaTax integrates with third-party services to enhance functionality:
Financial Connections:
- Plaid: Secure bank account connections and transaction import
- QuickBooks/Xero: Accounting data synchronization
- Stripe: Payment processing
Document Storage:
- Google Drive: Document upload and storage
- Dropbox: File synchronization
E-filing Partners (when launched):
- April or Column Tax: IRS e-file submission
9.2 Third-Party Terms
Your use of third-party services is subject to:
- Their respective terms of service
- Their privacy policies
- Their acceptable use policies
- Their pricing and fees
We are not responsible for third-party service changes, fees, or availability.
9.3 Authorization and Revocation
When you connect a third-party service:
- You authorize us to access specified data
- You can revoke authorization anytime through account settings
- Revocation may limit Service functionality
- We will delete third-party data upon revocation (subject to retention policies)
9.4 No Endorsement
Integration does not constitute:
- Endorsement of third-party services
- Liability for their actions or failures
- Guarantee of availability or compatibility
- Responsibility for their security or privacy practices
9.5 Service Changes
We may:
- Add or remove integrations at any time
- Change integration functionality
- Discontinue third-party partnerships
- Require additional authorization for new features
We will provide reasonable notice of material changes when possible.
10. Tax and Financial Advice Disclaimers
10.1 Not Professional Tax Advice
IMPORTANT: AlphaTax is AI-powered tax optimization software that provides personalized tax strategies, calculations, and recommendations. However, it does NOT provide professional tax advice, legal advice, or accounting services from licensed professionals.
AlphaTax DOES provide:
- Personalized tax optimization recommendations based on your data
- AI-powered deduction discovery and tracking
- Automated expense categorization
- Tax planning strategies and scenarios
- Business structure tax comparisons (LLC vs S-Corp, etc.)
- Retirement account tax benefit analysis
- Customized quarterly tax estimates
- Year-over-year tax planning insights
AlphaTax does NOT:
- Act as your CPA, EA (Enrolled Agent), or tax attorney
- Create a professional client-advisor relationship
- Provide legal opinions or tax law interpretations
- Represent you before the IRS in audits or disputes
- Guarantee specific tax outcomes or savings
- Offer advice that considers non-tax factors (investment returns, risk tolerance, etc.)
What AlphaTax IS:
- Tax calculation and optimization software
- An automated tax planning tool powered by AI
- A document organization and tracking system
- An educational resource for tax concepts and strategies
What AlphaTax is NOT:
- A substitute for professional tax advice from a licensed CPA or EA
- A registered investment advisor (RIA) providing investment advice
- A law firm providing legal counsel
- A guarantee of IRS acceptance or audit protection
Important Distinction:
AlphaTax provides SOFTWARE-GENERATED recommendations based on tax rules and your data. All recommendations focus solely on tax optimization and do not consider your complete financial picture, investment goals, risk tolerance, or personal circumstances beyond tax planning.
Retirement Account Comparisons:
When AlphaTax compares retirement accounts (Solo 401(k), SEP-IRA, etc.), these comparisons are based ONLY on tax benefits such as contribution limits, deduction amounts, and tax treatment. This is NOT investment advice. We do not recommend specific investments, asset allocation, or which account is "best" for you overall. Consult a registered investment advisor (RIA) or certified financial planner (CFP) before making retirement account decisions.
10.2 Not Financial or Investment Advice
AlphaTax is NOT a registered investment advisor (RIA) or financial advisor.
We do NOT provide:
- Investment advice or recommendations
- Financial planning services
- Wealth management guidance
- Securities analysis or recommendations
- Retirement planning (beyond tax calculations)
- Business valuation services
Any content related to:
- Business structure recommendations (LLC, S-Corp, etc.)

You are responsible for:
- Filing tax returns by IRS deadlines
- Making estimated tax payments when required
- Responding to IRS notices and correspondence
- Maintaining records for IRS audit period (typically 3-7 years)
- Complying with IRS regulations and requirements
AlphaTax helps organize information but does not ensure IRS compliance.
11. Limitation of Liability
11.1 Service Provided "AS IS"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- TITLE
- ACCURACY OR COMPLETENESS
- UNINTERRUPTED OR ERROR-FREE OPERATION
- FREEDOM FROM BUGS OR VIRUSES
- SECURITY OF DATA
11.2 Disclaimer of Warranties
WE DISCLAIM ALL WARRANTIES REGARDING:
- Tax calculation accuracy
- Deduction identification completeness
- IRS acceptance of generated forms
- Compliance with tax laws
- Results or outcomes from using the Service
- Third-party service availability or performance
- Data security or protection (though we implement reasonable measures)
11.3 Limited Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALPHATAX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
Indirect Damages:
- Lost profits or revenue
- Lost business opportunities
- Data loss or corruption
- Business interruption
- Loss of goodwill or reputation
- Consequential, incidental, special, or punitive damages
Tax-Related Damages:
- Tax penalties, interest, or fees

11.4 Maximum Liability Cap
OUR TOTAL AGGREGATE LIABILITY to you for all claims arising from or related to the Service, these Terms, or your use of AlphaTax SHALL NOT EXCEED the greater of:
- $100 USD, or
- The amount you paid to AlphaTax in the 12 months immediately preceding the claim
This limitation applies regardless of:
- Legal theory (contract, tort, negligence, strict liability, etc.)
- Whether we were advised of the possibility of damages
- Failure of essential purpose of any remedy
11.5 Basis of the Bargain
You acknowledge that:
- These limitations of liability are fundamental to our agreement
- We would not provide the Service without these limitations
- Subscription prices reflect this allocation of risk
- You have the opportunity to obtain insurance for risks not covered
11.6 State Law Variations
Some states do not allow:
- Limitation of implied warranties
- Exclusion of incidental or consequential damages
- Certain liability caps
In such states, the above limitations may not fully apply, and you may have additional rights. Our liability will be limited to the maximum extent permitted by applicable law.
11.7 Exceptions
These limitations do NOT apply to:
- Our willful misconduct or gross negligence
- Fraud or fraudulent misrepresentation
- Death or personal injury caused by our negligence
- Violations that cannot be excluded by law
- Your indemnification obligations (Section 12)
12. Indemnification
12.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless AlphaTax, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors ("Indemnified Parties") from and against any and all:
- Claims, demands, and causes of action
- Losses, damages, and liabilities
- Costs and expenses (including reasonable attorney fees and costs)
Arising from or related to:

- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of third-party rights

- Information you provide to AlphaTax
- Accuracy or completeness of your data

- Filing false or fraudulent information
- IRS audits, penalties, or disputes

12.2 Defense and Settlement
We reserve the right, at our expense, to:
- Assume exclusive defense and control of any matter subject to indemnification
- Require you to cooperate in the defense
- Approve any settlement that affects our rights or obligations
You may not settle any claim without our prior written consent.
12.3 Notice
You must promptly notify us of any claim subject to indemnification. Failure to notify may limit your indemnification obligations only if we are materially prejudiced.
13. Termination
13.1 Termination by You
You may terminate your account at any time by:

- Click "Cancel Subscription"
- Confirm cancellation

- Click "Delete Account"
- Confirm deletion (permanent and irreversible)

Effect of Termination:
- Subscription cancellation: Access continues until end of billing period
- Account deletion: Immediate access termination, data deleted within 30 days (subject to legal retention)

13.2 Termination by AlphaTax
We may suspend or terminate your account immediately, without prior notice, if:
Policy Violations:
- You violate these Terms of Service
- You violate our Acceptable Use Policy
- You engage in prohibited activities
- You provide false or fraudulent information
Payment Issues:
- Payment fails repeatedly
- Chargebacks or payment disputes
- Suspected fraudulent payment activity
Security Concerns:
- Account shows signs of compromise
- Suspicious or unauthorized activity
- Data breach or security incident
- Use of account for illegal purposes
Legal Requirements:
- Court order or legal process
- Law enforcement request
- Regulatory investigation
- Compliance with legal obligations
Abuse or Misuse:
- Harassment of staff or other users
- Abuse of trial or promotional offers
- Circumventing access controls
- Scraping or unauthorized data access
13.3 Effect of Termination
Upon termination by either party:
Immediate:
- Your license to use the Service ends
- You must stop accessing the Service
- All licenses granted to you terminate
- Outstanding fees become immediately due
Within 30 Days:
- Your data may be deleted (subject to retention policies)
- Backup copies purged from our systems
- Third-party integrations disconnected
Retained:
- Tax records retained for 7 years (legal requirement)
- Billing records retained per financial regulations
- Anonymized data may be retained indefinitely
- Data needed for legal or regulatory purposes
Your Obligations:
- Pay all outstanding fees
- Stop representing yourself as AlphaTax user
- Delete any downloaded or cached content
- Comply with any post-termination obligations
13.4 Survival
The following sections survive termination of these Terms:
- Section 6 (User Content - license to AlphaTax)

Adjust Limits:

- Modify storage limits
- Update API rate limits (when available)
- Change free tier restrictions
Update Technology:
- Upgrade infrastructure or platforms
- Change third-party integrations
- Update security measures
- Migrate to new systems
Discontinue Service:
- Discontinue the Service entirely
- Discontinue specific features
- End support for certain platforms
Notice:
- We will provide reasonable notice when possible
- Material changes announced via email
- Changes to core functionality: 30 days' notice
- Emergency changes: Immediate implementation
14.2 Terms Modifications
We may update these Terms at any time to reflect:
- Changes in our practices or Service
- Legal or regulatory requirements
- User feedback or industry standards

15. Governing Law and Jurisdiction
15.1 Governing Law
These Terms, and any disputes arising from or relating to them or the Service, shall be governed by and construed in accordance with:
The laws of the State of Delaware, without regard to:
- Conflict of law principles
- Choice of law provisions
- The United Nations Convention on Contracts for the International Sale of Goods
Federal law shall apply where applicable, including:
- Federal Arbitration Act
- Electronic Signatures in Global and National Commerce Act
- Computer Fraud and Abuse Act
15.2 Venue for Non-Arbitrable Disputes
For disputes NOT subject to arbitration (see Section 17):
Exclusive jurisdiction in:
- State courts located in New Castle County, Delaware, OR
- Federal courts located in the District of Delaware
You consent to:
- Personal jurisdiction in these courts
- Venue in Delaware
- Service of process by email or mail
15.3 Waiver of Jury Trial
YOU AND ALPHATAX WAIVE THE RIGHT TO A JURY TRIAL for any disputes arising from or related to:
- These Terms
- Your use of the Service
- Any claims between you and AlphaTax
This waiver applies even if the dispute is not subject to arbitration.
15.4 State-Specific Provisions
California Residents:
You may have additional rights under California law. In accordance with California Civil Code Section 1789.3, you may report complaints to:

New York Residents:
In the event of termination, any prepaid fees for services not yet rendered will be refunded on a pro-rata basis as required by New York law.
16. Export Compliance
16.1 US Export Laws
You acknowledge that the Service and underlying technology may be subject to export control laws of the United States, including the Export Administration Regulations (EAR).
You agree:
- Not to export, re-export, or transfer the Service
- Not to permit use in embargoed countries
- Not to use for prohibited end-uses
- To comply with all export laws and regulations
Embargoed Countries (subject to change):
Current US embargoed countries include Cuba, Iran, North Korea, Syria, and Crimea region of Ukraine.
16.2 Sanctions Compliance
You represent that you are not:
- Located in a sanctioned country
- Named on any US government denied party list
- Subject to US sanctions or export restrictions
- Acting on behalf of a sanctioned entity
16.3 Violations
Violations of export laws may result in:
- Immediate account termination
- Reporting to US authorities
- Legal liability under export control laws
- Criminal prosecution
17. Dispute Resolution and Arbitration
17.1 Informal Resolution First
Before filing any formal claim, you agree to:

Allow us 60 days to attempt resolution through:
- Good faith negotiations
- Internal review of your claim
- Proposed settlement or remedy

Participate in good faith discussions
Most disputes are resolved at this stage. Only if we cannot resolve informally should you proceed to arbitration.
17.2 Binding Arbitration
If informal resolution fails, you agree that any dispute, claim, or controversy arising from or relating to:
- These Terms
- Your use of the Service
- Our relationship with you
- Privacy Policy or other policies
- Any aspect of your account
Shall be resolved exclusively through binding arbitration administered by:
American Arbitration Association (AAA)
Under its Consumer Arbitration Rules
Arbitration Terms:

- Your state of residence, OR
- Delaware (if you agree)
- Telephonic or video conference (if you prefer)
Arbitrator:
- Single arbitrator selected per AAA rules
- Must be licensed attorney or former judge
- Must have tax or financial services experience (if available)
Costs:
- AAA filing fees: We pay for claims under $10,000
- Arbitrator fees: Shared equally
- Attorney fees: Per AAA rules or as awarded by arbitrator
- Your costs capped at $250 for claims under $10,000
Rules:
- AAA Consumer Arbitration Rules apply
- Discovery allowed as determined by arbitrator
- Hearing may be in-person, phone, or video
- Decision must be in writing with reasoning
Decision:
- Final and binding on both parties
- Limited appeal rights under Federal Arbitration Act
- Enforceable in any court with jurisdiction
17.3 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS.
You waive your right to:
- Participate in class action lawsuits
- Participate in class arbitrations
- Bring representative actions on behalf of others
- Join with other users in consolidated proceedings
- Serve as a representative or member of any class
Each party may bring claims only in their individual capacity, not as:
- Plaintiff or class member in any class action
- Representative in any representative proceeding
- Member of any consolidated arbitration
If class action waiver is found unenforceable, the entire arbitration agreement is void and disputes must be resolved in court.
17.4 Exceptions to Arbitration
The following disputes are NOT subject to arbitration and may be brought in court:

- Claims within jurisdictional limits
- Filed in small claims court
- Brought on individual basis only

- Patent infringement
- Copyright infringement
- Trademark infringement
- Trade secret misappropriation

Injunctive Relief:

- Irreparable harm
- Misuse of intellectual property
- Violations of confidentiality
- Continued Terms violations

Government Actions:
- Enforcement by government agencies
- Regulatory proceedings

17.5 Arbitration Opt-Out
You may opt out of arbitration by:
Deadline: Within 30 days of account creation
Method: Send written notice to:

- Subject: "Arbitration Opt-Out"
- Include: Your name, email, date of account creation
Effect:
- Only you opt out (not other users)
- Does NOT affect other Terms provisions
- Disputes resolved in court per Section 15
- Class action waiver still applies
After 30 days: You cannot opt out and arbitration is binding.
17.6 Survival
This arbitration agreement survives:
- Termination of your account
- Termination of these Terms
- End of your relationship with AlphaTax
18. Miscellaneous Provisions
18.1 Entire Agreement
These Terms, together with:
- Privacy Policy (getalphatax.com/privacy)
- Cookie Policy (when applicable)
- Any additional terms for specific features
Constitute the entire agreement between you and AlphaTax regarding the Service.
These Terms supersede:
- All prior agreements or understandings
- Oral or written representations
- Previous versions of Terms
- Marketing materials or communications
18.2 Severability
If any provision of these Terms is found by a court or arbitrator to be:
- Invalid
- Unenforceable
- Illegal
- Void
Then:
- That provision shall be modified to the minimum extent necessary to make it valid and enforceable
- If modification is not possible, the provision shall be severed
- All other provisions remain in full force and effect
- The intent of the invalid provision shall be preserved to the maximum extent possible
18.3 No Waiver
Our failure or delay in:
- Enforcing any right or provision
- Exercising any option or remedy
- Requiring performance of any obligation
Does NOT constitute:
- A waiver of that right, provision, option, or remedy
- A waiver of our right to enforce in the future
- A modification of these Terms
All waivers must be:
- In writing
- Signed by an authorized representative
- Specific to the right or provision being waived
18.4 Assignment
You may NOT:
- Assign or transfer these Terms
- Assign your account or rights
- Transfer your obligations
- Delegate your duties
We may:
- Assign our rights and obligations to any successor entity
- Transfer in connection with merger, acquisition, or sale
- Delegate to contractors or service providers
- Assign without your consent
Effect of prohibited assignment:
- Void and of no effect
- Does not relieve you of obligations
- May result in account termination
18.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including:
Natural Events:
- Acts of God (earthquakes, floods, hurricanes)
- Severe weather
- Natural disasters
Infrastructure Failures:
- Internet service provider failures
- Power outages
- Telecommunications failures
- Hosting provider outages
Government Actions:
- War, terrorism, or civil unrest
- Government restrictions or regulations
- Strikes or labor disputes
- Embargoes or trade restrictions
Pandemics:
- Epidemics or pandemics
- Government-mandated closures
- Quarantines or health emergencies
Effect:
- Performance obligations suspended during force majeure
- Neither party liable for delays or failures
- We will use reasonable efforts to minimize impact
- If force majeure exceeds 60 days, either party may terminate
18.6 Independent Contractors
You and AlphaTax are independent contractors.
This relationship does NOT create:
- Partnership or joint venture
- Employment relationship
- Agency or representative relationship
- Fiduciary duty
- Right to bind the other party
Neither party has authority to:
- Make commitments on behalf of the other
- Incur obligations for the other
- Negotiate or sign contracts for the other
18.7 Electronic Communications
You consent to receive electronic communications from AlphaTax, including:
- Service notifications
- Account updates
- Marketing emails (if opted in)
- Legal notices
- Policy updates
- Security alerts
Electronic communications:
- Satisfy any legal requirement for written communication
- Have the same legal effect as paper communications
- Are deemed delivered when sent to your email address
You may withdraw consent by:
- Emailing support@alphatax.com
- Updating email preferences in account settings
- Note: Transactional emails cannot be opted out
18.8 Language
These Terms are written and executed in English. Any translation is for convenience only. In case of conflict, the English version prevails.
18.9 Headings
Section headings are for convenience only and do not:
- Affect interpretation of these Terms
- Have any legal significance
- Limit or expand the scope of any provision

- Posting on the Service

Notices are effective when sent.

18.11 Relationship to Other Agreements
If you have a separate written agreement with AlphaTax (e.g., enterprise agreement), that agreement controls to the extent of any conflict with these Terms.
18.12 No Third-Party Beneficiaries
These Terms are solely for the benefit of you and AlphaTax. No third party (including service providers, partners, or other users) has any right to enforce these Terms.
Exceptions:
- Indemnified Parties (Section 12) may enforce indemnification
- Service providers may enforce confidentiality obligations
- Legal successors may enforce assignment rights
18.13 Interpretation
In interpreting these Terms:
- "Including" means "including but not limited to"
- Singular includes plural and vice versa
- "Or" is not exclusive
- "Days" means calendar days unless specified otherwise
- Currency is US Dollars (USD)
- References to laws include amendments and successors
18.14 Recording and Monitoring
We may:
- Record customer support calls (with notice)
- Monitor chat conversations for quality
- Log user activity for security
- Analyze usage for improvement
By using the Service, you consent to such recording and monitoring.

- Had the opportunity to ask questions or seek legal counsel
- Voluntarily agreed to be bound by these Terms
20.2 Authority
You represent and warrant that:
- You have legal capacity to enter into these Terms
- You are at least 18 years old
- You have authority to bind any entity on whose behalf you're acting
- Your agreement is enforceable against you
20.3 Electronic Signature
Your use of the Service constitutes your electronic signature and acceptance of these Terms under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and state equivalents.
